Honeywell Assistant General Counsel (HPS) in Houston, Texas

Reporting directly to the Vice President & General Counsel of Honeywell Process Solutions, a $3.5 Billion business, the Assistant General Counsel will provide general commercial, litigation and intellectual property counsel to the broader HPS business and will also be responsible for leading (indirectly through a Director of Contracts) a 6-7 person contracts organization supporting North America and Latin America commercial sell side transactions. This role will include the following responsibilities:

•Negotiation, review and drafting of a broad range of commercial agreements, including supply agreements, sales agreements, bid bonds, projects and basic M&A agreements. •Advising on matters of critical strategic importance to the business, such as the risk-opportunity analysis of potential transactions. •Directing dispute resolution efforts and strategy, including managing discovery requests, subpoena responses and litigation, where necessary. •Leading (indirectly through a Director of Contracts) a regional team of Contract Managers in the negotiation of sell side commercial contracts together with dispute resolution efforts. •Leading key initiatives to help functionally transform the Law & Contracts organization into a more efficient and cost effective organization. •Championing the introduction of innovation technology tools to enhance the delivery of legal and contracts services. •Conducting extensive preventive law training focusing on contracts, legal and policy compliance, litigation management and transactional work. •Assuming responsibility for contracting excellence measures. •Managing relationships with outside counsel. •Developing standardized processes and templates.

_Basic Qualifications:_ •Juris Doctorate (JD) •Five years general commercial and/or intellectual property legal experience with a major law firm and/or corporation

_Preferred Qualifications:_ •Possess an interest in a high volume transactional practice and enhancing the business transactional oversight and contract excellence initiatives •Significant experience with (i) advising on Intellectual Property Matters, and( ii) the Oil & Gas sector are helpful but not mandatory •Strong preference for experience in negotiating commercial Intellectual Property issues and software licensing •Strong intellectual capacity and high personal standards of excellence •Strong business acumen; capacity to learn the business rapidly and become a business partner •Ability to define specific action plans based on general guidance and objectives and deliver results •Strong customer focus
